TERMS AND CONDITIONS: CZECH BUSINESS CENTER (THAILAND) CO., LTD

Welcome to the www.c-b-c.co.th website and the CBC MARKETPLACE mobile app (the "CBC Platform"). These Terms of Use govern your access and use of the Platform and Services provided by CBC. By accessing the CBC Platform, you agree to be bound by these Terms; if you do not agree, you must cease use immediately.

Access to password-protected and/or secure sections of the CBC Platform, as well as the use of the Services, is limited exclusively to Customers with accounts. You are prohibited from seeking or attempting to gain unauthorized access to these areas of the CBC Platform and/or Services, or to any other secured information, through any means not explicitly provided by us for your use. Violating this provision may constitute an offense under the Computer Crime Act B.E. 2550 (2007) of Thailand.

1. Definitions and Interpretation

1.1. "CBC", "we", "us", or "our": Refers to Czech Business Center Co., Ltd, incorporated in Thailand (Registration No. 0835564000482) and having its registered address at Unit 322/1, 199 Moo 4 Vichitsongkram Rd., T.Wichit, Phuket 83000 Thailand.

1.2. "1-Click Brand READY": An all-in-one digitalized plan allowing Thai vendors to instantly launch pre-vetted Czech brands with localized Thai content and integrated distribution rights.

1.3. "Fulfillment by CBC (FBC)": A logistics service where CBC manages inventory storage in the Czech Republic, packing, and international shipping to Thailand.

1.4. "CBC-JIT": A "Just-In-Time" cross-border model for luxury or made-to-order goods (e.g., Czech crystal) shipped via Priority Air Express directly from the factory or CBC warehouse.

1.5. "Customer Contract": The separate contract formed when a Seller accepts an Order placed by a Customer on the Platform.

1.6. "Prohibited Material": Any material that contains viruses, infringes on intellectual property, is defamatory, obscene, or otherwise illegal.

1.7. “Listing Price” refers to the price of products available for sale to customers, as indicated on the platform.

1.8. “CBC Platform” refers to:

1.8.1. both the web, PWA or mobile versions of the website managed and/or owned by CBC at www.c-b-c.co.th 

1.8.2. The mobile applications that CBC offers periodically, which are available for both iOS and Android platforms.

1.8.3. “Order” refers to your request for Products submitted via the CBC Platform, in accordance with the Terms & Conditions of Sale.

1.8.4. shall be deemed to include any data that you have provided to us when placing an 

1.8.5. Definition of “Personal Data”

1.8.6. “Personal Data” refers to information, whether accurate or not, that can be utilized to identify, contact, or locate you. This can encompass details such as your name, email address, billing address, shipping address, phone number, and credit card information. Additionally, Personal Data shall be deemed to include any data that you have provided to us while placing an order, irrespective of whether you possess an account with us.

1.8.7. “Username” refers to the unique login identification name or code which identifies a Customer who has an account with CBC.

1.8.8. “Terms of Use” refers to the introductory statements, Clauses 1 through 17, along with any Schedules included in these terms and conditions.

2. Access and General Use of the CBC Platform

2.1 We reserve the right to revise these guidelines, operating rules and policies and instructions at any time. You are considered to be aware of and obligated to adhere to any changes mentioned above once they are published on the Platform.

2.2 Eligibility: Access is restricted to authorized Customers with accounts. Users below 20 years of age must obtain consent from a parent or legal guardian who agrees to take responsibility for the minor's actions, charges, and compliance.

We reserve the right to revise these guidelines, operating rules and policies and instructions at any time. You are considered to be aware of and obligated to adhere to any changes mentioned above once they are published on the Platform.

2.3 Restricted Activities: You agree not to:

2.3.1. Impersonate any person or entity or misrepresent affiliations.

2.3.2. Use the Platform for illegal purposes or to gain unauthorized access to other computer systems.

2.3.3. Post or transmit Prohibited Materials or malicious code (viruses, etc.) which could potentially compromise the integrity of the CBC Platform’s data, or harm or disrupt the functionality of another Customer’s computer, mobile device, the Platform, or the Services.

2.3.4. Create or use more than one Customer account on the Platform.

2.4 Right to Monitor

CBC reserves the absolute discretion to monitor all content and activity, deactivate or ban accounts (permanently or temporarily), and report suspected law violations to authorities without prior notice.

2.5. Privacy Policy

2.6. Terms & Conditions and Voucher Terms & Conditions

All purchases of any product will be governed by the Terms & Conditions of Sale available at https://www.c-b-c.co.th/terms-conditions. If you are using a voucher, please note that the Voucher Terms & Conditions outlined at http://www.c-b-c.co.th/terms-c... will apply.

2.7. 1. To access and/or utilize the Services solely for legal purposes and in a lawful manner at all times, and to further commit to conducting any activities related to the Services in good faith; and

2.7. 2. To guarantee that any information or data you publish on the Platform in relation to the Services is accurate and complies with all applicable laws, you also agree to assume full responsibility for this information and data.

2.7.3. Product Description: Although we strive to deliver an accurate desription of the Products, we do not guarantee that this description is precise, up-to-date, or devoid of errors.

2.7.4. Product Pricing Information- All listed prices are subject to applicable taxes, unless otherwise specified. We reserve the right to change the listing prices at any time, without providing prior notice or justification.

3. Customer Accounts and Security

3.1. Username and Password: You are responsible for the confidentiality and security of your account credentials. CBC is not liable for any Losses arising from unauthorized use.

3.2. Biometric Login: If supported by your device, you may use fingerprint or facial recognition. You acknowledge that CBC does not collect or store this biometric data, as the module is provided by your device manufacturer; use of this service is at your own risk.

3.3. Any access or communication referable to your credentials shall be deemed to be issued by you, and you agree to indemnify CBC against all Losses attributable to such use.

3.4. Unless restricted by relevant laws from excluding or limiting our liability, CBC shall not be held responsible for any losses you may experience related to the use or attempted use of the Biometric Login, access to your Account via the Biometric Login, your instructions, or any unauthorized transactions associated with the Biometric Login service.

4. Intellectual Property

4.1.No part of the Platform or any Materials may be reproduced, reverse-engineered, decompiled, disassembled, altered, distributed, displayed, broadcast, framed, transferred or transmitted in any form or by any means. Additionally, these materials cannot be stored in an information retrieval system or installed on any server, system, or equipment without our prior written consent or that of the respective copyright owners. Subject to Clause 4.2, permission is granted solely for you to download, print, or utilize the Materials for personal and non-commercial purposes, as long as you do not modify the Materials and all copyright and other proprietary notices included in the Materials are retained by us or the pertinent copyright owners.

4.2.The term "Trademarks" shall be defined as outlined in the attached schedule. Nothing on the Platform or within these Terms of Use should be interpreted as granting any license or right—by implication to use any Trademarks displayed in the Services, without our written consent or that of any other relevant trademark owner.

5. Terms and Conditions of Sale

5.1. Irrevocable Orders: All Orders are deemed irrevocable and unconditional upon transmission through the Platform.

5.2. Pricing Errors: CBC and Sellers reserve the right to terminate a Customer Contract if a product is mispriced, even if the item is already in transit, upon three days' notice.

5.3. Customer Groups:

5.3.1. B2C Group

5.3.2 B2B Group: Verified business customers may access specialized wholesale pricing for bulk purchases.

5.3.3. B2G Group: Government customers or agency are eligible for 30-day credit payment terms. CBC may suspend deliveries if payments are not cleared by the due date.

5.4.Membership CBC Loyality Program Customers earn points toward SILVER, GOLD, or PLATINUM tiers. Points do not accrue for "Invalid Transactions" such as cancelled or fraudulent orders.

5.5. CBC + Plus 

6. Logistics, Fulfillment, and Tracking

6.1. FBC Logistics: Fulfillment CBC manages the entire supply chain, including international shipping and Thai import taxes.

6.2. Five-Stage Transparency Tracking: All premium purchases include a Live Global Tracking Link with the following milestones:

    1. Order Confirmed: Factory preparation in the Czech Republic (1–3 days).
    2. Quality Check: Packed at the CBC Czech warehouse (1 day).
    3. International Transit: Priority air cargo from Prague to Bangkok (3–5 days).
    4. Customs Clear: Handled and pre-paid by CBC Thailand (1–2 days).
    5. Local Delivery: Express courier in Thailand (1–2 days).

7. Payments, Returns, and Refunds

Currency & Payouts: All transactions are in Thai Baht (THB). CBC utilizes the Stripe payment gateway to process all transactions securely in Thai Baht (THB). This ensures a seamless and reliable payment experience for both customers and vendors.

7.1. 15-Day Return Policy: Customers may request a return within 15 days of delivery if products are faulty, damaged, or fundamentally different from the description.(refund policy)

7.2. Refunds: Refunds are processed to the original payment method upon acceptance of a valid return. Once a refund is provided, non-conforming products become the property of the Seller.(refund policy)

8. Limitation of Liability and Governing Law

8.1. The Services, CBC Platform, and Materials are provided "as is" without any warranties. They are for informational purposes only, and no guarantees are made regarding accuracy, completeness, security, or uninterrupted access. Users accept risks related to data transmission and potential unauthorized access. Additionally, CBC Indemnitees are not liable for any losses related to these services.

8.2. CBC Indemnitees are not liable for any losses related to:

8.2.1. Accessing or using the Platform or Services

8.2.2. Reliance on any data or information from the CBC Platform without verification

8.2.3. System failures, errors, or malicious code, servers error, connection failure 

8.2.4. Use of linked websites, regardless of prior advice about potential issues

Users assume all risks of misunderstandings or losses from using the Platform.

8.3. Force Majeure: CBC is not liable for non-performance or delays caused by events beyond its reasonable control, such as international shipping disruptions.

9. Your submissions and information

9.1 Submissions by You

By submitting materials or information to the Platform or providing it to us, you grant us a non-exclusive license to use such content, which includes, but is not limited to, questions, reviews, comments, and suggestions (collectively referred to as “Submissions”). When you post comments or reviews on the Platform, you also permit us to use the name or Username you provide in connection with that content. It is important that you do not use a false email address, impersonate someone else, or mislead us or third parties regarding the origin of any Submissions. We may choose to publish, remove, or edit your Submissions, but we are not obligated to do so.

9.2 Consent to Receive E-mails

You consent to and authorize us to use any information you provide (including Personal Data) for the purpose of sending you informational and promotional emails. By agreeing to the terms of this Clause 9.2, you provide your consent in accordance with any applicable spam control laws, whether in Thailand or elsewhere. You have the option to unsubscribe from promotional emails by clicking the appropriate link in any promotional email you receive.

9.3 Privacy Policy

You acknowledge that you have read and agree to the Privacy Policy available at https://www.c-b-c.co.th/privac... and consent to our collection, use, and disclosure of your Personal Data as outlined in the Privacy Policy.

10. Termination

10.1 Termination by CBC platform

At our sole discretion, we may terminate your access to the Platform and/or Services immediately, with or without prior notice. We reserve the right to disable your Username and Password and restrict access to the Platform and/or Services (or any portion thereof) for any reason, including but not limited to a breach of these Terms of Use. This action may also be taken if we believe you have violated or acted in a manner inconsistent with any of the terms set forth here, or if, in our opinion or that of any regulatory authority, it is deemed unsuitable to continue providing the services related to the Platform.

10.2 Termination by You

You have the right to terminate these Terms of Use by providing us with a written notice at least seven (7) days in advance.

11. Notices

11.1 Notices from CBC platform

All communications or notices sent to you will be considered effective if:

11.1.1. They are communicated through any print or electronic media we choose, which will be deemed notified on the date of publication or broadcast; or

11.1.2. They are mailed or delivered to your last known address, which will be considered received by you the day after posting or on the day they were delivered.

11.2 Notices from You

You may send us notices in writing to our designated address or email at: Unit 322/1, 199 Moo 4 Vichitsongkram Rd., T. Wichit, Phuket 83000, Thailand, and via our website at www.c-b-c.co.th/contact. We will only be deemed to have received such notice upon actual receipt. While we strive to respond to your notices promptly, we cannot guarantee a consistent response time.

12. General

12.1 Cumulative Rights and Remedies

Unless stated otherwise in these Terms of Use, the provisions outlined herein, along with our rights and remedies, are cumulative. They do not affect or limit any other rights or remedies we may have under law or equity. Additionally, the exercise of any single right or remedy under these Terms of Use, or under law or equity, shall not impede or restrict our ability to pursue any other rights or remedies, unless explicitly stated otherwise in these Terms of Use or under applicable law.

12.2 The fact that we do not enforce these Terms of Use should not be interpreted as a waiver of our rights. Such inaction does not impact our ability to enforce these Terms of Use in the future. We retain the right to exercise our rights and remedies in any situation where you violate these Terms of Use.

12.3 If any provision of these Terms of Use is found to be illegal, invalid, or unenforceable at any time, the legality, validity, and enforceability of the remaining provisions will not be affected. They shall continue to remain in effect as if the illegal, invalid, or unenforceable provision had been removed.

12.4 Any individual or entity that is not a party to these Terms of Use shall have no rights under any legislation in any jurisdiction to enforce any term herein, regardless of whether they have been identified by name, as part of a class, or fitting a specific description. 

12.5 The use of the Platform and/or the Services, as well as these Terms of Use, shall be governed by and interpreted in accordance with the laws of Thailand. By using these services, you agree to submit to the exclusive jurisdiction of the Courts of Thailand.

12.6 Injunctive Relief

We may pursue immediate injunctive relief if we genuinely believe that a breach or failure to perform justifies a temporary restraining order or other swift remedy as the only appropriate solution.

12.7 We may modify the terms and conditions of these Terms of Use by notifying you through the CBC Platform or another designated method (which may include email). Such changes will take effect on the specified date. If you continue to use the Platform or Services after this date, you are considered to have accepted the changes. If you do not agree to the modifications, you must cease access to the Platform and Services and terminate these Terms of Use. Our right to amend these Terms of Use may be exercised without the consent of any individual or entity not party to these Terms.

12.8 Correction of Errors

Any typographical or clerical errors in our documents can be corrected without liability.

12.9 Language

In cases where these Terms of Use are executed or translated into any language other than English (“Foreign Language Version”), the English version shall prevail and take precedence over the Foreign Language Version.

12.10 General Agreement

These Terms of Use represent the complete agreement between you and us regarding the subject matter herein, fully superseding all prior understandings, communications, and agreements related to this topic.

12.11 You acknowledge that records maintained by us or our service providers, including telephone conversations, are binding and serve as conclusive evidence of any exchanged information. You agree these records are admissible in evidence and will not challenge their authenticity based on their electronic form. You waive rights to object on these grounds. 

12.12 We retain the right to delegate or subcontract any functions associated with the Platform and/or Services. Additionally, we may engage service providers, subcontractors, and/or agents under terms that we deem appropriate.

12.13 Force Majeure

We cannot be held responsible for any non-performance, errors, interruptions, or delays in meeting our obligations outlined in these Terms of Use (or any portion thereof). Additionally, we are not liable for any inaccuracies, unreliabilities, or unsuitabilities in the content of the Platform and/or Services if such issues arise, either wholly or partially, due to events or failures that are beyond our reasonable control.

12.14 You may not assign your rights under these Terms of Use without obtaining our prior written consent. We retain the right to assign our rights under these Terms of Use to any third party.
